GENERAL TERMS AND CONDITIONS OF SALE OF HUTA ŁABĘDY S.A.
(effective as of 23 February 2022)

1. GENERAL PROVISIONS
1.1. Scope of application: The GTCS shall apply to contracts in which HUTA ŁABĘDY S.A. acts as the Seller and the counterparty as the Buyer.
1.2. Definitions:

• Order: A written or electronic document of the Buyer.

• Goods: The goods which are the subject of the Order.

• Order Confirmation: The Seller’s statement of acceptance of the Order.

• Business Days: Monday to Friday, excluding public holidays.

1.3. GTCS subject: Detailed rules for the sale of Goods, including placing Orders as well as handling deliveries, complaints and payments.
1.4. Overriding principle: Other terms and conditions of purchase shall not apply unless accepted by the Seller.
1.5. Integrality: The GTCS shall be an integral part of the agreement between the Parties.

2. CONDITIONS OF SALE
2.1. Orders:

• Orders shall be placed in writing or electronically.

• Confirmation of the Order by the Seller shall be obligatory.

2.3. Order cancellation:

• Cancellation after Confirmation shall be construed as withdrawal from the agreement.

• Possible contractual penalties: from 20% to 100% of the net value of the Goods.

3. PRICES, PAYMENT TERMS, INVOICING

• Fixed prices in PLN shall apply, excluding VAT, unless otherwise agreed.

• Payment terms shall be in accordance with the Order Confirmation.

• Late payment shall result in statutory interest and possible suspension of deliveries.

4. DELIVERY, PACKAGING, TRANSPORT
4.1. Place of delivery: Specified in the Order Confirmation.
4.4. Transfer of risk: Risk shall pass to the Buyer upon receipt of the Goods.
4.9. Quantity tolerances: ±5% of the quantity ordered.

5. WARRANTY

• Standard warranty period: 12 months from the date of delivery.

• The warranty shall not cover damage resulting from improper use.

7. COMPLAINTS

• Quantitative defects shall be reported within no more than 3 days after receipt.

• Latent defects may be reported up to 365 days after delivery.

8. RETENTION OF TITLE

• Transfer of ownership shall take place upon full payment of the price.

12. APPLICABLE LAW AND JURISDICTION

• Polish law shall apply.

• The applicable court shall be the court with jurisdiction over the registered office of the Seller.

13. PERSONAL DATA PROTECTION

• Data processing shall be in accordance with the GDPR.

• The parties shall implement data protection measures.
